Terms of Service

Last updated: October 19, 2026

1. Acceptance of these Terms

1.1 These Terms of Service (as amended from time to time, the "Terms") constitute a legally binding agreement between you (the "User", "you" or "your") and PortPal (together with its successors and permitted assigns, "PortPal", "we", "us" or "our") governing your access to and use of the PortPal mobile application, the PortPal website and all related features, functionality, content and services (collectively, the "Services").

1.2 By creating an account, or by otherwise accessing or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms and by the PortPal Privacy Policy (the "Privacy Policy"), which is incorporated herein by reference. If you do not agree, you must not access or use the Services.

2. Eligibility and Accounts

2.1 You must be at least eighteen (18) years of age and a working adult to use the Services.

2.2 You shall provide accurate, current and complete information, and shall keep such information current. Each individual may maintain one (1) account only.

2.3 You are solely responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account, and shall notify PortPal promptly of any unauthorized use thereof.

3. Nature of the Services; No Affiliation; No Professional Advice

3.1 The Services are a personal record-keeping tool that permits you to record shifts, set goals and compare expected remuneration with your pay statements.

3.2 PortPal is not affiliated with, endorsed by or acting on behalf of any union, union local, employer, employers' association or governmental authority, and nothing in the Services constitutes a communication from any of them.

3.3 Nothing in the Services constitutes legal, financial, tax, accounting, employment, labour relations or union advice. You should consult your union, your employer, the applicable collective agreement or a qualified professional before acting on any matter concerning your remuneration or entitlements.

4. Estimates and Automated Output

4.1 Pay estimates, period totals, verification results, information extracted from documents, and responses of the in-application assistant (collectively, "Output") are generated automatically from information you provide and from rules and data available to PortPal. Output may be inaccurate, incomplete or out of date, and certain categories of shifts, remuneration or records may not be fully supported.

4.2 Output is provided for informational purposes only and does not constitute a statement or determination of any amount owed to you or of any right or entitlement. Your pay statement and the applicable collective agreement are authoritative.

4.3 You are solely responsible for verifying Output before relying on it, and for any decision, grievance, claim, communication or other action you take, or refrain from taking, in reliance on it. PortPal makes no representation or warranty as to the accuracy, completeness or fitness of any Output.

5. User Content

5.1 As between you and PortPal, you retain ownership of the shifts, goals, feedback, documents and other content you submit to the Services ("User Content").

5.2 You hereby grant PortPal a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, back up and display User Content for the purposes of providing, maintaining, securing and improving the Services, and to create aggregated or de-identified information therefrom that does not identify you, which PortPal may use for any lawful purpose.

5.3 You represent and warrant that you have all rights, consents and authority necessary to submit User Content, including any information concerning third parties contained therein, and that its submission and processing in accordance with these Terms and the Privacy Policy will not violate any law or the rights of any person.

5.4 You may delete User Content, or your account, at any time. Deleted content is removed from the Services, and backup copies are retained, as described in the Privacy Policy. Subject to the foregoing, PortPal is not responsible for the loss of any User Content, and you are responsible for maintaining such copies as you consider necessary, including by means of the export features available within the Services.

6. Acceptable Use

You shall not, and shall not permit any person to:

  • (a) use the Services other than for your own personal records, or for any unlawful, fraudulent or harmful purpose;
  • (b) submit documents or information belonging to another person without their authorization;
  • (c) access or attempt to access any account or data other than your own, or probe, scan or test the vulnerability of the Services;
  • (d) interfere with, disrupt or impose an unreasonable load on the Services;
  • (e) use any automated means to access, scrape, copy, index or extract data from the Services;
  • (f) copy, modify, translate, decompile, disassemble or reverse engineer the Services, or otherwise attempt to derive their source code, underlying methods or structure, except to the extent such restriction is prohibited by law;
  • (g) access or use the Services for the purpose of building, benchmarking or supporting a competing product or service; or
  • (h) sell, resell, sublicense or otherwise commercially exploit the Services.

7. Third-Party Services and Referrals

7.1 The Services may refer you to, or enable you to request contact from, third parties offering products or services, including financial services ("Third-Party Providers"). Any such referral is made solely at your request and for your convenience.

7.2 PortPal does not endorse, and makes no representation or warranty concerning, any Third-Party Provider or its products, services or advice. Any relationship between you and a Third-Party Provider is solely between you and that provider and is governed by its own terms and privacy policy. PortPal may receive compensation in connection with referrals.

7.3 PortPal shall have no liability for any act, omission, product, service or advice of any Third-Party Provider, or of any website or service not operated by PortPal.

8. Intellectual Property; Feedback

8.1 The Services, including all software, designs, text, graphics, characters, logos, trademarks and other materials therein (excluding User Content), are the property of PortPal or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, PortPal grants you a limited, revocable, non-exclusive, non-transferable licence to use the Services for your personal, non-commercial purposes. All rights not expressly granted are reserved.

8.2 Should you provide PortPal with suggestions, ideas or other feedback, you grant PortPal a perpetual, irrevocable, worldwide, royalty-free licence to use such feedback for any purpose without obligation or compensation to you.

9. Fees

The Services are presently offered free of charge, and no paid feature or subscription is offered. Should PortPal introduce any paid feature, it shall amend these Terms in advance and disclose the applicable price before you are asked to pay any amount.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE OR NON-INFRINGEMENT. PORTPAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED.

11. Limitation of Liability

11.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PORTPAL OR ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS OR LICENSORS (THE "PORTPAL PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF EARNINGS, WAGES, REMUNERATION, PROFITS, OPPORTUNITY OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES, ANY OUTPUT OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.

11.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE PORTPAL PARTIES ARISING OUT OF OR RELATING TO THE SERVICES, ANY OUTPUT OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PORTPAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

11.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

12. Indemnification

To the fullest extent permitted by applicable law, you shall indemnify, defend and hold harmless the PortPal Parties from and against any and all claims, demands, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or relating to (a) your User Content, (b) your use or misuse of the Services or any Output, (c) your breach of these Terms, or (d) your violation of any law or the rights of any third party.

13. Modification, Suspension and Discontinuation

PortPal may, at any time and in its sole discretion, modify, suspend or discontinue all or any part of the Services, including by introducing, changing or withdrawing features, with or without notice. Certain features may be designated as preview or beta features, are provided without any commitment of availability, and may be changed or withdrawn at any time.

14. Termination

14.1 You may stop using the Services and delete your account at any time from the Account screen or by following the procedure set out on PortPal's account deletion page.

14.2 PortPal may suspend or terminate your access to the Services, in whole or in part, where PortPal reasonably believes that you have breached these Terms, or that your use of the Services poses a risk to PortPal, other Users or the Services. Where practicable and not prohibited by law, PortPal shall inform you of the reason.

14.3 Sections 4, 5.2 to 5.4, 7, 8, 10, 11, 12, 15 and 18, and any other provision which by its nature is intended to survive, shall survive any termination of these Terms.

15. Dispute Resolution and Governing Law

15.1 Informal Resolution. Before commencing any proceeding against PortPal, you agree to notify PortPal in writing at ethan@buildlaunchiterate.ca of the nature of the dispute and the relief sought, and to allow PortPal not less than thirty (30) days to resolve it informally.

15.2 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

15.3 Forum. Subject to Section 15.1, the courts of the Province of British Columbia shall have exclusive jurisdiction over any dispute arising out of or relating to the Services or these Terms, and you irrevocably attorn to the jurisdiction of such courts.

15.4 Individual Claims. To the fullest extent permitted by applicable law, any claim shall be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.

16. Application Stores

Where you obtain the application through the Apple App Store or Google Play, you acknowledge that these Terms are between you and PortPal only, and not with Apple Inc. or Google LLC, which have no obligation to furnish maintenance or support for the application and are not responsible for the application or its content. Your use of the application must also comply with the applicable store's terms of service. Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. Electronic Communications

You consent to receive communications from PortPal electronically, including by electronic mail and within the Services, and agree that all agreements, notices and other communications so provided satisfy any legal requirement that they be in writing.

18. General

18.1 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and PortPal concerning the Services and supersede all prior agreements and understandings.

18.2 Severability. Should any provision of these Terms be determined to be invalid, illegal or unenforceable, such provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18.3 No Waiver. No failure or delay by PortPal in exercising any right hereunder shall operate as a waiver thereof.

18.4 Assignment. You may not assign or transfer these Terms without PortPal's prior written consent. PortPal may assign these Terms without restriction, including in connection with any merger, acquisition, reorganization or sale of assets.

18.5 Force Majeure. PortPal shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control.

18.6 Interpretation. Headings are for convenience of reference only. The words "including" and "includes" shall be deemed to be followed by the words "without limitation".

19. Amendments

PortPal may amend these Terms at any time. Amendments shall be effective upon publication, as evidenced by the revised "Last updated" date above, and PortPal shall provide notice of any material amendment within the Services. Your continued use of the Services following such publication constitutes your acceptance of the amended Terms.
